Terms of Service

Welcome to DashAdvisr. By accessing or using our platform at dashadvisr.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. About DashAdvisr

DashAdvisr is a business intelligence platform that connects your point-of-sale, accounting, staffing, and event data to provide actionable insights and a proprietary Waypoint Score. The Service is provided by NaviWorks LLC, doing business as DashAdvisr ("we", "us", "our").

2. Eligibility

You must be at least 18 years old and have the authority to bind the business entity you represent. By creating an account, you represent that you meet these requirements.

3. Accounts

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information during registration.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at admin@dashadvisr.com if you suspect unauthorized access.

4. Subscriptions & Legacy Pricing

DashAdvisr offers paid subscription plans (Starter, Pro, Enterprise) billed monthly per location. Founding clients who sign up during the early-access period lock in their rate for life ("Legacy Pricing"). Details:

• Subscription fees are charged at the beginning of each billing cycle.
• Legacy pricing is guaranteed for the life of your account — your rate will not increase as long as your subscription remains active.
• Features may change, be added, or removed as the platform evolves. We will provide reasonable notice for material changes.
• Add-on modules may be purchased separately or included with your plan tier.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Upload malicious code, viruses, or harmful content.
• Resell, sublicense, or redistribute access to the Service without written consent.

6. Your Data

You retain ownership of all data you provide to DashAdvisr. By using the Service, you grant us a limited license to process, store, and analyze your data solely for the purpose of providing the Service to you. We will not sell your data to third parties. See our Privacy Policy for details.

7. Third-Party Integrations

The Service connects to third-party platforms (Square, QuickBooks, Eventbrite, Homebase, Google Business, Toast POS, Clover POS, Gusto). Your use of those integrations is also subject to the respective third-party terms. We are not responsible for the availability or accuracy of third-party data.

8. AI-Generated Insights

DashAdvisr uses artificial intelligence (Sage AI) to generate business insights and recommendations. These are provided for informational purposes only and do not constitute financial, legal, or professional advice. You are solely responsible for any business decisions you make based on the Service.

9. Intellectual Property

All rights, title, and interest in the Service — including the Waypoint Score algorithm, Sage AI, user interface, and branding — are owned by NaviWorks LLC (dba DashAdvisr). You may not copy, modify, or create derivative works from any part of the Service.

10. Limitation of Liability

To the maximum extent permitted by law, NaviWorks LLC (dba DashAdvisr) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless NaviWorks LLC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any business decisions made based on insights, recommendations, or data provided by the Service, including outputs from Sage AI.

13. Cancellation & Refunds

All new subscriptions include a 30-day money-back guarantee. You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle. After the initial 30-day guarantee period, no prorated refunds are issued for partial months. If you cancel and later resubscribe, legacy pricing is not guaranteed on the new subscription. 14. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, you may request export of your data within 30 days.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Payment Processing

Payment processing is handled by Stripe, Inc., a third-party payment processor. NaviWorks LLC does not store your credit card information. Your use of Stripe is subject to Stripe's Terms of Service.

17. Dispute Resolution

Before filing any legal claim, both parties agree to attempt to resolve disputes informally by contacting admin@dashadvisr.com. Both parties will negotiate in good faith for at least 30 days before pursuing formal action. If informal resolution fails, disputes shall be resolved in the courts located in Sacramento County, California.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and NaviWorks LLC regarding the Service and supersede all prior agreements.
